11. Governing Law
These Terms and any disputes arising out of or relating to your use of the Site shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
12. Dispute Resolution – Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, your use of the Site, or any matters related thereto shall be finally resolved by arbitration administered under the Arbitration Act, 1991 (Ontario). The arbitration shall be conducted in Toronto, Ontario, by a single arbitrator, in English. The decision of the arbitrator shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Each party shall bear its own costs, and the parties shall share equally the fees and expenses of the arbitrator, unless the arbitrator determines otherwise in the award. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent or address a breach of intellectual property or confidentiality obligations.
13. Modification to Terms
We may update these Terms from time to time. When we do, we will revise the “Effective Date” at the top of this page. We encourage you to review this policy periodically. By continuing to access or use this Site after any updates become effective, you agree to be bound by the updated terms. If you do not agree to the updated terms, in whole or in part, please stop using the Site and any services connected to it.
